These Terms and Conditions of Purchase and Sale constitute a legally binding document that establishes the mutual rights, obligations, responsibilities, and other conditions related to the purchase and sale of goods on the vilana.lt website between the Seller and the Buyer (customer).

The use of this website, including logging in and purchasing goods, is subject to the applicable Terms and Conditions. The Seller reserves the right to change, supplement, or modify these Terms and Conditions of Purchase and Sale without prior notice, in accordance with the website's usage policy. Therefore, the Terms and Conditions in effect at the time of placing an order will apply.

If any of these Terms are unclear or unacceptable, we recommend not using our online store services. By placing an order, the Buyer is considered to have read and unconditionally agreed to these Terms.

In the following text, the word 'we', including its grammatical variations, refers to the Seller, and the word 'you', including its grammatical variations, refers to the Buyer.

FORMATION OF THE PURCHASE AND SALE AGREEMENT

The right to make purchases in the online store is granted to:

  • Legally competent individuals - adults whose legal capacity is not restricted by a court decision.
  • Minors aged 14 to 18 - only with the consent of their parents or guardians, except in cases where they independently manage their income.
  • Legal entities - persons represented by individuals acting in accordance with the founding documents of the legal entity or by authorised representatives.

By placing an order in the online store, you confirm that you meet the above conditions and have the legal right to make purchases on this website.

The purchase and sale agreement consists of the following integral elements:

  • Your order information: This includes the selected items in your cart, the buyer’s name, email address, phone number, delivery address, and any other data and preferences provided during the order process.
  • Product information: The essential characteristics and price of the product are indicated in the online store, alongside the description of the selected product.
  • Delivery information: Delivery terms, timelines, and costs are provided in the order window when you choose the delivery method.
  • Order confirmation: A confirmation is sent to you via email after the order is placed.

The purchase and sale agreement between the Buyer and the Seller is considered concluded from the moment the Buyer selects a product, forms a shopping cart, completes all the order steps, and confirms/pays for the order. This agreement is a legally binding document for both parties.

Evidence of the agreement, such as the confirmed order, its contents, the date and time of submission, payment details, invoice data, and delivery information, is carefully stored in electronic format in the Seller’s database. This information ensures the smooth and lawful fulfilment of contractual obligations.

ORDERING AND PAYMENT TERMS

You can place an order in our online store using one of the following methods:

  • As a registered user: By creating an account on vilana.lt and entering your email address and password.
  • As a guest: By ordering products without creating an account and filling in the required information in the order confirmation form, following the instructions provided on the website.

After adding your selected products to the cart, you will need to enter the necessary details for placing and processing your order. If you are a registered user, this information will be filled in automatically, so you only need to review it. Next, you should choose a delivery method, confirm that you have read and agree to the Terms and Conditions and the Privacy Policy, and proceed with payment using your preferred method.

Once the Buyer has successfully completed all the steps of the order, a legal purchase and sale relationship is established between the Seller and the Buyer, and a purchase and sale agreement is formed. The Seller will send an order confirmation along with the invoice to the email address provided by the Buyer.

LIABILITY

The Buyer is responsible for providing accurate personal information during registration and/or when placing an order. If incorrect information is provided, such as an incorrect delivery address or phone number, the parcel may not reach the recipient, and the Seller accepts no liability for this.

The Buyer agrees not to misuse the identity of other individuals or entities and not to use false information, such as names, for which they have no rights or authorisation.

The Seller accepts no responsibility for any damage that may arise from unauthorised use of an account by third parties. If another person logs into the account and places an order in violation of these Terms, it will be considered that the Buyer has ordered and/or purchased the products.

The Seller also accepts no responsibility for any losses incurred because the Buyer, despite the Seller’s recommendations and their own obligations, failed to review the Terms and Conditions and Privacy Policy, even though they had the opportunity to do so.

We handle your data with care and ensure that any information provided will be processed with complete confidentiality and in accordance with the Law on Legal Protection of Personal Data of the Republic of Lithuania. Your personal data will not be sold to third parties or used for any purposes unrelated to the company’s and customer’s relationship.

PRODUCT PRICES

Product prices on the vilana.lt website are displayed in euros, including the VAT rate applicable at the time, in accordance with legal regulations.

Shipping costs are not included in the product price, except in cases where the Website explicitly states that delivery is free under certain conditions. The shipping costs applicable to the order are clearly specified and provided to the Buyer at the time of ordering.

To purchase products at a lower price, only one discount code may be used at a time, unless specific discount or promotional rules state otherwise. Any attempt to exploit potential system errors to gain additional discounts is considered fraudulent. In such cases, the Seller reserves the right to cancel the order.

The Buyer can pay for the ordered products using one of the following methods:

  • Online Banking System: By accessing their bank’s online banking platform.
  • Online Payment Service: By using specialised payment systems that facilitate online financial transactions.
  • Bank Transfer: By transferring funds to the Seller’s bank account based on the provided details.

Once the Seller receives the payment, the order will be confirmed, and the delivery period for the products will begin.

By accepting the Terms and Conditions, the Buyer agrees that invoices will be sent electronically to the provided email address immediately after payment is made. The invoices will detail the selected products, their quantities, applied discounts, final price including all taxes, and any other necessary accounting information.

After order confirmation, the product price cannot be altered, except in cases where the price changes due to technical errors in the information systems or other objective reasons not attributable to the Seller. If the Buyer does not agree with the revised price, they may cancel the order by notifying the Seller. In such cases, the Buyer will be refunded the full amount paid upon order cancellation as per this clause.

PRODUCT DELIVERY AND COLLECTION

Products are delivered based on the option you select when placing your order: using the Seller’s courier services, to an address of your chosen parcel locker, or you may collect them from one of the Seller’s designated retail locations.

Delivery conditions and charges are detailed on the website www.vilana.lt under the ‘Delivery’ section. The Seller reserves the right to amend delivery fees and the minimum purchase amount required for free delivery.

Before placing your order, please ensure you are aware of any potential taxes and customs duties that may apply in your country. Please note that the Seller is not responsible for any additional costs associated with delivery.

Once your order has been dispatched or is ready for collection, you will receive a notification via email from the system.

If, due to unforeseen circumstances, we are unable to deliver the goods within the specified timeframe, we will contact you via email, phone, or message to inform you of the revised delivery date. In any event, we guarantee that the ordered products will be delivered no later than 30 days from the payment date.

In exceptional cases, if we are unable to deliver the ordered product on time, we reserve the right to offer you an alternative product or agree on a new delivery date. If we are unable to finalise the delivery terms and other conditions, you have the right to cancel the purchase agreement, and any payments made, including delivery charges, will be refunded promptly, but no later than 14 days.

Failed Delivery and Liability

If a delivery fails through no fault of the Seller (for example, due to incorrect details provided by you, your absence during delivery, or failure to collect the parcel within the timeframe set by the postal or courier service) and the parcel is returned to the Seller, the order may be reshipped for an additional delivery fee. If the order is not reshipped, it will be deemed cancelled, and you will be refunded the amount paid for the goods, minus the delivery and return costs.

If, following an unsuccessful delivery attempt, the parcel is lost or damaged and not returned to the Seller, the Seller is not obliged to refund the payment for the lost or damaged items. The risk of damage to the goods transfers to you from the moment of the failed delivery, except in cases where the goods were not delivered due to the Seller's fault.

Product Deficiencies and Discrepancies Upon Delivery

If you notice that the parcel is damaged, the order does not meet your expectations, or the product has visible defects upon delivery, please notify the Seller immediately using one of the following methods:

Your notification will be reviewed within 1–3 working days, and we will contact you regarding the next steps. If the product is deemed defective or the order does not meet the specifications, we will offer to replace the defective item or accept it for return, and rectify any other discrepancies with the order.

The Buyer must inform the Seller in writing of any visible product quality issues (e.g., packaging damage, quantity discrepancies) without delay and no later than 2 days from the date of delivery. Failure to do so within this timeframe will result in the forfeiture of the right to make claims regarding the identified defects.

This provision does not apply if the Website clearly states that products are sold with damaged packaging at a reduced price. By ordering such products, the Buyer acknowledges and accepts these conditions and will not be able to make claims to the Seller regarding packaging damage or other defects in the future.

CANCELATION OF THE PURCHASE AND SALE AGREEMENT

If a product purchased from the online store does not meet your expectations or you have decided that you no longer need it, you have the right to return it or exchange it for another.

The Buyer has the right to cancel the purchase and sale agreement within 14 days from the date of the agreement without providing any reason, by notifying the Seller. However, this right does not apply in exceptional cases specified in Article 6.22810, Part 2 of the Civil Code.

If you wish to return or exchange products that have already been dispatched or delivered, you must do so within 14 days of notifying the Seller of the cancellation, in accordance with the instructions provided in the ‘Returns and Exchanges’ section.

If you notify us of the cancellation before the products have been dispatched (i.e., before they are handed over to the courier or postal service), your order will be cancelled, the products will not be sent, and any payments made will be refunded within 14 days from the date we receive your cancellation notice.

To exercise your right to cancel the agreement and return or exchange a product, please contact the Seller using one of the following methods:

The refund will be processed within 14 days of the Seller receiving the cancellation notice. If the product has not yet been returned to the Seller, this period will commence from the day the product is returned. By accepting these Terms and Conditions, the Buyer agrees that any refunded amount will be transferred to their bank account unless otherwise agreed between the Buyer and the Seller.

No refund will be given for products that have been deliberately damaged or damaged through negligence (e.g., exposure to chemicals, water, open flames, high temperatures, sharp objects, etc.), or if the product has been used improperly or not according to its intended purpose.

RETURN AND EXCHANGE POLICY

To exercise the right to return or exchange a quality product, please ensure that the item meets the following conditions:

  • Original Packaging: The item must be in its original, undamaged packaging, along with all its accessories.
  • Initial Condition: The item must be unused, undamaged, and in pristine condition.
  • Cosmetic Products: For health and hygiene reasons, unpackaged cosmetic products, those without protective seals, or with damaged packaging cannot be returned or exchanged.
  • Gift Vouchers: Gift vouchers cannot be returned or exchanged.

The right to return or exchange quality products does not apply to:

  • Cosmetic products without protective packaging (such as seals or films), as they cannot be resold for health and hygiene reasons.
  • Other items that have been unboxed after delivery and cannot be returned due to health or hygiene regulations.
  • Gift vouchers.
  • Business customers, including individuals and legal entities, who purchase products for non-personal use.

IMPORTANT: The cost of returning quality products is your responsibility.

Customer Rights Regarding Defective Products

If a customer receives products that are of unsatisfactory quality, have manufacturing defects noticed at the time of purchase, or do not match the descriptions provided by the manufacturer, they have several options:

  • Product Replacement: The customer can request that the defective product be replaced with a quality product.
  • Price Reduction: The customer has the right to request a price reduction based on the defects of the product.
  • Contract Termination: The customer can unilaterally terminate the purchase agreement and receive a refund for the product.

IMPORTANT: When returning defective products, we also reimburse the actual return costs; however, the total reimbursed amount cannot exceed €4.20, regardless of the chosen shipping or return method within Lithuania.

Product Return Process

To return products, the customer must notify the seller via email at vilananblt@gmail.com and provide information about the items being returned. A free-form request for the return of goods must also be submitted.

The products to be returned or exchanged should be sent according to the following procedure:

Packaging: The items must be securely packed to prevent damage, such as breaking, spilling, or other forms of deterioration. Please ensure the packaging is adequately protected.

Return and Exchange Procedure

Upon receiving the returned products, we will inspect them. If the items meet the return conditions specified in the Terms, you will be refunded, or if you opted for an exchange, new products will be sent.

If the returned items do not meet the requirements set forth in the Terms, such as being damaged, losing their commercial appearance, being used, or having damaged packaging, we reserve the right to reject the return and not confirm the refund.

GUARANTEE OF PRODUCT QUALITY

Quality Assurance and Responsibility

The Seller commits to ensuring that the products offered in the online store meet established quality standards and are suitable for their intended purpose.

Product Descriptions

Each product description provides information about the characteristics that are typical and usual for products of the same nature. However, the Seller is not responsible for any discrepancies in colour, shape, or specifications between the images of the products displayed on the online store and the actual products, which may occur due to variations in computer and mobile device screen settings.

Cosmetics Characteristics

The scent and/or texture of cosmetics from different batches may vary slightly due to the use of natural raw materials. Such variations in scent or texture are not considered defects in product quality, as they may result from natural ingredient variations.

Warranty and Defects

The warranty does not apply if the product has been damaged due to improper use or care by the Buyer, or if it has naturally worn out over time.

Reporting Defects

If you notice a defect in the product, please contact us immediately via email at vilananblt@gmail.com or by sending a private message to the Vilana Natural Beauty Lietuva ‘Facebook’ page. If possible, please include photos of the product showing the defect.

We will review your request within 5 business days and get back to you. We reserve the right to request that you send the product to us for a thorough assessment of the defect and its cause.

Resolution of Quality Defects

If we confirm that a defect in the product’s quality exists, we will repair, replace, reduce the price, or refund the amount (excluding minor defects), based on your preference and applicable laws.

COMPLAINTS AND DISPUTE RESOLUTION

The Buyer and the Seller agree that all disputes, claims, or disagreements arising from the performance, breach, termination, or invalidity of the contract will be resolved through negotiation. If a mutual agreement cannot be reached through negotiation, disputes will be resolved in accordance with the laws of the Republic of Lithuania.

If the Buyer believes their rights have been infringed, they have the right to contact the Seller in writing within 3 months from the date they become aware of the infringement, stating their claims or demands. Requests can be sent via email to vilananblt@gmail.com.

The Seller commits to examining the Buyer's request free of charge within 14 days and providing a detailed, document-supported, and reasoned response.

If the Seller's response is unsatisfactory to the Buyer or if no response is provided, the Buyer has the right to submit their complaint regarding the product purchased from vilana.lt to a non-judicial consumer dispute resolution body – the State Consumer Rights Protection Authority ( Vilniaus g. 25, LT-01402 Vilnius, www.vvtat.lt ) – or to complete an electronic complaint form on the European Commission’s (EC) platform ( http://ec.europa.eu/odr/ ).

RESPONSIBLE USE OF PRODUCTS: CUSTOMER’S OBLIGATION

Please note that the products sold on our website are not intended to diagnose, treat, or prevent health problems, and they are not considered medical treatments.

By purchasing our products, you acknowledge that you are aware of the potential irritating effects of natural ingredients, such as essential oils. The Seller is not responsible for any adverse effects that may occur in your individual case.

As a responsible customer, you assume responsibility for the safe and effective use of the products. To ensure proper use, we recommend the following:

  • Carefully review the ingredients: Examine the ingredient list of each product, including potential allergens. This will help avoid unwanted reactions and ensure the product is suitable for you.
  • Follow safety recommendations: Carefully read the usage instructions and safety recommendations provided in the product description.
